Welcome to RiffleCM — the all-in-one platform built by subcontractors, for subcontractors. These Terms and Conditions (“Terms”) govern your access to and use of our website, platform, and related services (collectively, the “Services”). Please read these Terms carefully before using RiffleCM.
By creating an account, connecting a mailbox via OAuth, or using the Service, you agree to these Terms. If you do not agree, you may not use these services.
1. Definitions
“Service” means the Riffle web application and related services.
“Customer,” “you,” “User” means the organization or person subscribing to or using the Service.
“Connected Inbox” means any email account you authorize via OAuth for the Service to access.
“Extracted Bid Invite” means email content/metadata the Service identifies as a bid invitation, including parsed fields and attachments metadata.
“Shared Inbox” means the collaborative workspace inside the Service where Extracted Bid Invites are displayed to authorized team members.
“Customer Data” means all data submitted to, collected by, or processed by the Service for Customer, including Connected Inbox content and Extracted Bid Invites.
2. Acceptance; Eligibility
- By using the Service, you agree to these Terms and represent that you have authority to bind the Customer entity. If you do not agree, do not use the Service.
3. License & Grant of Rights
Subject to these Terms and timely payment of fees, Riffle grants Customer a non-exclusive, non-transferable, limited right to access and use the Service during the applicable subscription term.
Customer grants Riffle a limited license to process Customer Data solely to provide, secure, support, and improve the Service (including hosting, storage, indexing, parsing, display, backup, and analytics).
4. Email Access via OAuth
Authorization. You may connect one or more email accounts through OAuth. We only access scopes you approve and use them to ingest messages necessary to detect and extract bid invites.
Scope of Processing. We may process subject, body, headers, sender/recipient, timestamps, and relevant attachments only to identify Extracted Bid Invites and power Shared Inbox features.
Revocation. You may revoke access at any time via the email provider’s security settings or the Service. Revocation stops future ingestion; previously processed data is handled under Section 12.
No Selling of Email Content. We do not sell Customer email content or Extracted Bid Invites.
Parsing Limitations. Automated extraction can miss or misinterpret content. You are responsible for verifying critical details.
5. Shared Inbox & Team Access
You control who in your workspace can access the Shared Inbox and what they can see or do. You are responsible for provisioning/deprovisioning users, assigning roles, maintaining least-privilege access, and managing internal confidentiality.
6. Customer Data; Ownership; Derived Data
As between the parties, Customer retains all right, title, and interest in Customer Data. Riffle does not obtain ownership of Customer Data.
Riffle may generate Derived Data (e.g., anonymized metrics, parsing models, or usage analytics) that do not identify Customer or individuals; Riffle owns Derived Data and may use it to operate, secure, and improve the Service.
Customer is responsible for the accuracy, content, and legality of Customer Data and all necessary consents and authorizations.
7. Security; Confidentiality; Privacy
We implement reasonable administrative, technical, and physical safeguards to protect Customer Data. No system is perfectly secure, and you acknowledge inherent risks of internet transmission and third-party email providers.
Each party will treat the other’s non-public information as confidential and use it only for purposes of the relationship. See our Privacy Policy for personal data processing details.
8. Subscriptions, Fees & Taxes
Plans & Renewal. Access is provided under a plan shown at checkout or in the admin console. Subscriptions renew automatically unless canceled before renewal.
Billing. Fees are due in advance; unpaid amounts may result in suspension. Prices exclude taxes; you are responsible for applicable taxes (other than those based on our net income).
Trials. At trial end, access may cease unless converted to a paid plan.
9. Availability; Support; Beta Features
We use commercially reasonable efforts to provide the Service and support. Beta or preview features are provided “as is” and may be modified or discontinued at any time.
10. Acceptable Use
RiffleCM may suspend or terminate your Account and access to the Services at any time if:
- Do not connect inboxes without proper authorization or in violation of provider terms.
- Do not reverse engineer, attempt to access others’ data, interfere with the Service, or circumvent security.
- Do not use the Service to infringe rights, violate law, or distribute malware.
11. Third-Party Services & Providers
The Service integrates with third-party email providers and other vendors. We are not responsible for outages, changes, or data loss attributable to third-party services. You remain responsible for your provider accounts and configurations.
12. Term; Suspension; Termination; Data Return/Deletion
Term. These Terms apply for the subscription term and any renewals.
Suspension. We may suspend access for non-payment, security risks, or material breach.
Termination. Either party may terminate for uncured material breach after written notice (or immediately if not curable). You may cancel at renewal.
Data Export. Upon termination or request, you may export Extracted Bid Invites and related data for 30 days unless prohibited by law or security constraints.
Deletion. After the export window, we may delete Customer Data from active systems and will delete or anonymize residual backups per our data-retention schedule.
13. Warranties & Disclaimers
We will provide the Service in a manner consistent with industry standards.
Except as expressly stated, the service is provided “as is” and “as available.” We disclaim all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant uninterrupted operation, error-free parsing, or accuracy of extracted bid invites.
14. Limitation of Liability
To the maximum extent permitted by law, Riffle’s total liability arising out of or related to the service or these terms shall not exceed the amounts paid by customer to Riffle for the service in the twelve (12) months preceding the event giving rise to liability. In no event will Riffle be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or lost profits, revenue, data, or business, even if advised of the possibility of such damages.
15. Changes to the Service or Terms
We may modify the Service or these Terms. Material changes to the Terms will be notified in advance (e.g., email or in-app) and become effective on the specified date. Continued use after the effective date constitutes acceptance.
16. General
Governing Law; Venue. These Terms are governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict-of-law principles. However, any legal action or proceeding arising under or relating to these Terms shall be brought exclusively in the state or federal courts located in Cook County, Illinois, and the parties consent to personal jurisdiction in those courts.
Assignment. You may not assign these Terms without our consent; we may assign to an affiliate or in connection with merger, acquisition, or asset sale.
Entire Agreement. These Terms (and any order forms/policies referenced) constitute the entire agreement and supersede prior proposals or agreements.
Severability; Waiver. If any provision is unenforceable, the remainder remains in effect; no waiver is effective unless in writing.
Notices. Notices to Riffle: privacy@rifflecm.com. Notices to Customer: the admin email on file.
17. International Use
The Service is controlled and operated from the United States and is intended for use by U.S. customers. Learn more in our Privacy Policy.
